Oracle to Takeover Phase Forward

Redwood City, CA-based Oracle Corporation has announced its intent to acquire Waltham, MA-based Phase Forward Incorporated, a publicly held company providing integrated data management solutions, for approximately $685 million ($17.00 per share). Expected to make the acquiree the foundation for the Health Sciences SaaS-based offerings, the current move is anticipated to provide Oracle with significant domain expertise, and facilitate accelerated SaaS solutions of Health Sciences. For Phase Forward, its R&D investments are to increase, as it would be able to benefit form Oracle’s anticipated R&D budget of $2.8 billion, after the closure of the agreement. Read more
IBM to Strengthen Analytics Capabilities through Initiate Systems Acquisition

Entering into the 30th acquisition under its information and analytics strategy, IBM Corporation has signed an agreement with Initiate Systems, to acquire the data integrity software provider for an undisclosed amount. The agreement is subject to customary closing conditions and regulatory clearance. Initiate Systems will operate with IBM’s Information Management business, following the expected closing of the agreement during the 1Q 2010. Unisys to Divest Health Information Management Business to Molina Healthcare

Unisys Corporation has decided to sell its health information management (HIM) business to Molina Healthcare, Inc., a managed care organization, in an all-cash deal valued at $135 million. Subject to a standard working capital adjustment, the transaction amount will be paid using Molina’s credit facility at closing. Microsoft Corporation has expressed its intention to acquire Sentillion Inc., in order to facilitate caregivers with the ease in delivering quality care through the combined offerings of Microsoft Amalga Unified Intelligence System (UIS) and Sentillion’s products. Nashville, Tennessee-based Emdeon Business Services LLC has acquired eRx Network, LLC, a vendor of electronic pharmacy healthcare solutions, in order to enhance its footing in e-Prescribing and pharmacy claims management. The financial terms of the transaction were undisclosed. The agreement marks the merging of Emdeon’s pharmacy operations with eRx’s technology and services offering, and the former leveraging eRx’s growing clientele, and recognition for its product innovation, pharmacy switching technology and customer support. Emdeon Business Services LLC, has signed an agreement to acquire substantially all assets of The Sentinel Group from Optimal Business Services, Inc., which operates under Trustmark Mutual Holding Company (Trustmark Companies), to offer services for healthcare fraud and abuse management. IBA to Acquire Medication Management Vendor HATRIX

IBA Health Group Limited has entered into an A$15 million (US $10.8 million) agreement to acquire HATRIX Pty Ltd, a provider of medication management solutions. Under the terms of the acquisition, which is expected to complete in the upcoming days, HATRIX shareholders will initially receive a consideration of A$2 million (US$1.4 million) and will further be paid an A$13 million (US$9.3 million) earn-out in cash or in the form of shares at IBA’s election, over the coming three years. Express Scripts to Acquire WellPoint Subsidiary

St. Louis, Missouri-based Express Scripts Inc. and Indianapolis-based WellPoint Inc., have entered into an agreement, by virtue of which, Express Script will acquire the latter’s NextRx subsidiary for a deal value worth $4.675 billion.
